W8 / W9 Tax United States (U.S.) Tax Certification Status
The Tax and Equity Fiscal Responsibility Act of 1982 (TEFRA) requires that you certify your Social Security Number or Tax Identification Number. Failure to do so will result in backup withholding on interest, dividends, sales, or redemption proceeds. If you are not a U.S. person, you should submit Form W-8BEN, Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding, to certify your foreign status and, if applicable, claim tax treaty benefits.

Withholding Tax Rate
The rate used to calculate the income tax withholding for:

 -  non-qualified stock options/incentive stock options/stock appreciation rights upon exercise.

 -  restricted stock awards and restricted stock units upon vesting.

 -  performance share/units upon payment.

 -  total shareholder return units upon distribution.

Your employer is required to report taxable income and to remit the withholding amount to the appropriate regulatory agencies.
